For Informational Purposes Only

This website and the term sheet generator tool (the "Tool") are provided for informational and discussion purposes only. The Tool does not provide legal advice, tax advice, or any other form of professional advice. The information generated by the Tool should not be relied upon as a substitute for consultation with a qualified legal professional.

Not Exhaustive

The questions in the Tool are designed to cover many of the core items commonly negotiated in cofounder agreements. However, every business arrangement is unique. There are additional terms, conditions, and protections that a qualified lawyer may recommend based on the specific circumstances of the cofounders, the company, the industry, the applicable jurisdiction, and the tax implications of the proposed structure. The cofounders should not assume that the items addressed by this Tool represent a complete or sufficient set of terms for their cofounder agreement.

No Solicitor-Client Relationship

Using this website or the Tool does not create a solicitor-client relationship, attorney-client relationship, or any other professional relationship with Wires Law, Webhaller Inc., or any individual lawyer. No information submitted through the Tool is protected by solicitor-client privilege. No information entered into the Tool is transmitted to or stored by Webhaller Inc., Wires Law, or any third party — the Tool runs entirely in the user's browser.

Engagement of Wires Law

If you choose to engage Wires Law to provide legal services in connection with your cofounder agreement or any other matter, such engagement is subject to: (a) Wires Law agreeing to act and confirming that no conflicts of interest exist; (b) entering a written engagement agreement with Wires Law setting out the scope of the retainer, the identity of the client, and the applicable fees; and (c) Wires Law identifying who the client is, which may be the company, one or more of the cofounders, or another party — this must be determined before any legal work begins. The generation or use of a term sheet through this Tool does not constitute the engagement of Wires Law or create any obligation on the part of Wires Law to provide legal services.

Independent Legal Advice

Each person using this Tool is strongly encouraged to retain their own independent legal counsel to review any term sheet, cofounder agreement, or related document before entering any binding agreement. A cofounder agreement involves significant legal rights and obligations, and each party's interests may differ. A single law firm may not be able to represent all cofounders due to potential conflicts of interest.

No Guarantee of Accuracy or Completeness

Webhaller Inc. and Wires Law make no representations or warranties regarding the accuracy, completeness, or suitability of the information generated by the Tool. The Tool is provided "as is" without warranty of any kind, express or implied. The output of the Tool may contain errors, omissions, or may not reflect current law.

Limitation of Liability

To the fullest extent permitted by law, Webhaller Inc. and Wires Law disclaim all liability arising from the use of or reliance on the Tool or any term sheet generated by it, including but not limited to any direct, indirect, incidental, consequential, or special damages. Use at your own risk.

No Endorsement

References to Wires Law on this website are for informational purposes. They do not constitute an endorsement or recommendation by Webhaller Inc. of Wires Law, nor do they constitute an endorsement or recommendation by Wires Law of this Tool or the term sheets it generates.
